Terms of Service
Draft scaffold · no effective date · replace before beta onboarding
This page is a structural placeholder, not WinLayer's binding terms of service. It has not been reviewed by counsel and must be replaced before onboarding any customer.
Acceptance and eligibility
Counsel to draftWho may use WinLayer, how acceptance is formed (click-through at sign-up), and any restriction to business/organizational users.
- Individuals can create a personal workspace; company workspaces support members and roles including Owner, Admin, Growth Leader, BD User and Viewer.
- MVP scope is the US federal market only (Plan assumption 5).
Description of the service
Counsel to draftWhat WinLayer provides, and explicitly what it is not (not legal, procurement, or investment advice; not a guarantee of contract awards).
- WinLayer aggregates public federal procurement data and produces scored opportunities, predictions, and AI-generated briefs.
- Predictions are probabilistic and explainable, not guarantees — the product surfaces likelihood, not certainty.
Subscriptions, plans, and billing
Counsel to draftPlan tiers, the card-required trial, billing cadence, add-on packs, taxes, renewal notices, cancellation, refunds, and any beta-partner manual invoicing. Confirm the final disclosure and reminder language against applicable card-network and consumer laws before live activation.
- Tiers: Solo ($199), Growth ($499), Growth Plus ($999), and Enterprise ($1,499)/mo, metered by Active Pursuits, workspace users, and Proposal Analyses.
- Add-on packs: extra seat ($49), integration pack ($149), and proposal-analysis pack ($99). API credentials are included with eligible subscriptions and are not separately sold.
- Billing is access to business outcomes, not AI consumption — there are no token or AI-credit charges.
- The self-serve 14-day trial is available only on Solo and begins after a payment card is added in Stripe Checkout. Solo's selected paid cadence starts automatically after the disclosed trial end unless canceled first. Growth and Growth Plus begin as paid subscriptions when checkout is confirmed.
Acceptable use
Counsel to draftProhibited uses, rate/scraping limits on the API, and consequences. Address resale or redistribution of WinLayer intelligence.
- The public API is key-authenticated, rate-limited, and usage-metered per tenant.
Customer data and intellectual property
Counsel to draftWho owns uploaded documents and generated work product, the license the customer grants WinLayer to process their data, and WinLayer's ownership of the platform.
- Customers upload their own documents (RFPs, proposals). Tenant data is isolated by construction and never shared across tenants.
- Data governance supports export and deletion — the customer's data remains portable (see Privacy/DPA).
AI-generated content and no-reliance
Counsel to draftDisclaim reliance on AI output for bid/no-bid or legal decisions; state that a human must review; clarify that citations are provided but accuracy is not warranted.
- Every AI recommendation is evidence-anchored (traces to a source) and requires human approval before any consequential action.
- The platform does not act autonomously on external actions — AI recommends, the user decides.
Disclaimers and limitation of liability
Counsel to draftStandard SaaS warranty disclaimers and liability caps. Especially important given predictive/advisory nature and government-data dependence.
- Data is sourced from third-party government systems whose availability and accuracy WinLayer does not control.
Term, termination, and suspension
Counsel to draftHow either party ends the agreement, effect on data (see DPA return/deletion), and suspension for non-payment or misuse.
Governing law and disputes
Counsel to draftJurisdiction, venue, and dispute-resolution mechanism — counsel to set based on WinLayer's incorporation.
